These Terms of Use govern your use of paxis-hk.com (the "Website"), operated by HONG KONG PRIMEAXIS PRECISION LTD, a company incorporated in Hong Kong ("PAXIS", "we", "us"). By using the Website you accept these Terms. If you do not accept them, please do not use the Website.

1. Business use

The Website is intended for businesses and professional buyers. It is not directed at consumers. By sending us a request you confirm that you act on behalf of a business.

2. Information on the Website

The content of the Website is general information about our services. It does not constitute an offer, a quotation, a technical specification or a warranty. Photographs, illustrations, example documents and sample values are shown for illustration only. Articles, guides and technical information on the Website are provided for general information only and create no obligation on the part of PAXIS.

A contract is formed only by a written quotation issued by PAXIS and a purchase order confirmed by PAXIS in writing. The terms of that quotation and order prevail over anything stated on the Website.

3. Drawings and information you send us

When you send us drawings, specifications, models or other information ("Customer Materials"), you confirm that:

• you own the Customer Materials or are authorised to use and share them for the purpose of obtaining a quotation and manufacturing;
• manufacturing the parts described does not infringe any patent, design, copyright, trade mark or other right of a third party; and
• the Customer Materials do not include information whose disclosure to us, or transfer to the place of manufacture, is restricted by law.

You agree to indemnify PAXIS against claims, losses and costs arising from a breach of these confirmations.

We use Customer Materials only to evaluate your request, prepare a quotation and manufacture your order, and we share them with our partner factories only to the extent required for that purpose. We treat them as confidential and sign your non-disclosure agreement on request. Customer Materials are sent by email; you are responsible for choosing what to send and for any protection, such as encryption, that you require.

4. Lawful use and restricted items

You are responsible for ensuring that the parts you order, and their export, import and use, comply with the laws that apply to you, including export control, sanctions and product regulations.

PAXIS does not accept orders for items whose manufacture, sale or export is prohibited or restricted by applicable law, and may decline or cancel any request at its discretion without giving reasons.

You may not use the Website for any unlawful purpose, to send harmful code, or to attempt to gain unauthorised access to the Website or its systems.

5. Intellectual property

The Website, its text, design, photographs, illustrations and the PAXIS name and logo are owned by or licensed to PAXIS. You may view and print pages for your internal business purposes. Any other copying, reproduction or reuse requires our prior written consent.

6. Links to other websites

Where the Website links to websites of third parties, we are not responsible for their content or their privacy practices.

7. No warranty

The Website is provided "as is" and "as available". We make reasonable efforts to keep its content accurate and current, but we do not warrant that it is complete, accurate, up to date or available without interruption.

8. Limitation of liability

To the fullest extent permitted by law, PAXIS is not liable for any loss or damage arising from the use of, or reliance on, the Website or its content, including indirect or consequential loss, loss of profit, revenue, data or business opportunity.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Liability in connection with an order is governed exclusively by the terms of the relevant quotation and order.

Our handling of personal data is described in our Privacy Policy.

10. Changes

We may update these Terms from time to time. The version published on the Website on the date of your use applies.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the Website.
